Enterprise customers contract under a separate Master Services Agreement, which supersedes these terms.

These Terms of Service (“Terms”) govern your use of hiloop’s self-serve products and website. By creating an account or using the service, you agree to these Terms. If you are using hiloop on behalf of an organization, you agree on its behalf.

1. The service

hiloop provides infrastructure for automated research, including compute, experiment orchestration, and observability. We may update the service over time.

2. Accounts

You are responsible for your account, your credentials, and activity under it. Provide accurate information and keep your credentials secure.

3. Acceptable use

Your use must comply with our Acceptable Use Policy. We may suspend access for violations that create risk to the service or others.

5. AI-generated results

The service uses machine learning and may produce inaccurate or unexpected results. You are responsible for evaluating Outputs before relying on them, and for keeping a human in the loop for consequential decisions. The service is provided for your lawful use only.

6. Fees

Paid plans are billed as described at sign-up. Fees are non-refundable except as required by law.

7. Confidentiality

Each party will protect the other’s non-public information disclosed in connection with the service.

8. Warranties and disclaimers

The service is provided “as is” without warranties of any kind to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and our aggregate liability is limited to the amounts you paid to us in the 12 months before the event giving rise to the claim.

10. Indemnification

You will defend and indemnify hiloop against third-party claims arising from your Inputs, your use of the service in violation of these Terms or the Acceptable Use Policy, or your infringement or misuse of third-party rights. We do not provide an indemnity at the self-serve tier; enterprise indemnification (if any) is addressed in the Master Services Agreement.

11. Term and termination

Either party may terminate for convenience on 30 days’ notice. We may suspend or terminate for material breach or risk to the service. On termination, your right to use the service ends; data handling on termination follows our Privacy Policy and any DPA.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in California.

13. Changes

We may update these Terms and will revise the “Last updated” date; material changes will be communicated as required. Continued use means acceptance.
